Introduction
The Philippine online gaming industry is undergoing a fundamental regulatory transformation. On October 2, 2025, the Philippine Amusement and Gaming Corporation (“PAGCOR”) issued the Regulatory Framework for the Accreditation of Gaming Affiliates and Support Service Providers (Revision 1) (the “B2B Accreditation Framework” or “Framework”), which, for the first time, mandates formal accreditation for all business-to-business service providers operating within PAGCOR’s regulated iGaming ecosystem.
Under the new regime, no Game Content Provider (“GCP”), Game Aggregator, or other Gaming Affiliate may lawfully supply games or services to a PAGCOR licensed operator or accredited Gaming System Administrator (“GSA”) without first obtaining PAGCOR accreditation. The Framework is explicit: any B2B service provider contracted by a PAGCOR licensee or accredited GSA must hold PAGCOR accreditation. Unaccredited providers will be barred from the market.
This presents both a challenge and an opportunity for foreign gaming companies. On the one hand, the new accreditation requirements impose rigorous compliance obligations—probity checks, technical evaluations, financial guarantees, and local registration. On the other hand, the Framework provides an alternative pathway specifically designed for foreign Gaming Affiliates: the appointment of an exclusive distributor in the Philippines.
This guide examines that pathway. It is intended for foreign GCPs and Gaming Aggregators considering the Philippine market—whether as a serious long-term play or an initial foray to test the waters. The first part sets out the regulatory background. The second part addresses the practical and contractual aspects of structuring an exclusive distributorship agreement, presented in a Q&A format from the perspective of a GCP appointing a distributor.
