The Philippine iGaming market is drawing serious foreign interest, and alongside it a wave of offers that will not survive regulatory scrutiny. Investors are being approached with “PAGCOR licenses for sale,” dormant companies, and partnership structures under which they would fund and run an operation while others remain on paper. The common thread is a misunderstanding of what is actually being offered.

A PAGCOR accreditation is not a tradable asset. A Certificate of Accreditation is a privilege issued to a specific corporation.

It cannot be sold, sublet, or transferred away from the company that holds it, and no change in ownership, beneficial ownership, or control can lawfully close without the prior approval of the PAGCOR Board. Any structure that separates the economics or control of a gaming business from the entity PAGCOR has approved is precisely the kind of arrangement the regulator is now examining most closely.

The market is real and the opportunity is significant, but entry must be structured as a regulated acquisition, not a purchase of a tradable license. PAGCOR’s ongoing clean-up is making the surviving market more investable: more selective about the capital it accepts, and more rewarding for investors with the governance and patience to enter properly. Regulatory due diligence is part of the transaction itself, not a workstream to begin after commercial terms are agreed.

The second issue of Arden’s Legal Guide Series, Philippine iGaming 2026: An Investor’s Legal Guide to Market Entry, sets out the seven lawful routes into the market, the red flags that distinguish a genuine opportunity from a costly one, and the pre-engagement and transaction process we recommend before any funds change hands. It reflects the guidance we provide to clients navigating this market, and the standard of analysis we believe every prospective investor should apply.

For any party weighing an entry into Philippine iGaming, this guide is the place to begin.
