The Philippine virtual asset regulatory architecture is entering a defining phase. As the Securities and Exchange Commission’s (SEC) Strategic Sandbox (StratBox) moves from policy framework to live testing, the operational choices made by its first participants are establishing a template and a benchmark for how compliance-led market entry will look in this jurisdiction.
The selection of a Bangko Sentral ng Pilipinas (BSP)-accredited Virtual Asset Service Provider (VASP) by BlockShoals Technologies Inc., confirmed in the company’s official statement of 11 June 2026, is one such defining moment. The development merits attention not as an isolated corporate milestone, but as a case study in how the StratBox Framework is designed to operate and what it asks of those who participate in it.
Arden Consult serves as legal, strategic, and regulatory compliance adviser to BlockShoals across the StratBox engagement.
The Development
In its official statement, BlockShoals underscored that the selection of a BSP-accredited VASP partner is a built-in component of its SEC-approved testing plan, submitted to and approved by the Commission in November 2025, and expressly required under its Notice to Proceed.
The selection follows a 29 May 2026 inter-agency meeting between BlockShoals, the SEC, and the BSP’s Technology Risk and Innovation Supervision Department (TRISD), at which BlockShoals confirmed it was finalizing its VASP agreement. A VASP has since been chosen, and both parties are completing due diligence. Onboarding and integration will commence once the partnership is formally in place, with a separate announcement to follow.
Why Regulatory Sequencing Matters
For market entrants observing the StratBox Framework, the salient lesson is not that BlockShoals selected a BSP-accredited VASP, rather, it is when, how, and under what supervisory conditions it did so. Three observations follow.
First, StratBox is a supervised testing environment, not an exemption regime. Participating entities operate under the direct supervision of the SEC, subject to controlled, time-bound testing parameters before broader market activity is authorized. BlockShoals is the first Crypto Asset Intermediary (CAI) approved for live testing under this framework, a position that brings both opportunity and exacting regulatory expectations. Companies considering StratBox should expect a meaningful compliance commitment, not a fast lane.
Second, the SEC and the BSP administer separate but complementary regulatory frameworks, with the SEC overseeing securities and capital market activities and the BSP overseeing VASPs operating in the payments and remittance space. The May 2026 inter-agency meeting reflects active coordination between the two regulators, a pattern Arden Consult anticipates will become more pronounced as the Philippines’ virtual asset architecture matures. Prospective entrants should plan from the outset for a multi-regulator engagement strategy, not a single point of contact.
Third, choosing a properly regulated partner is a structural feature of StratBox, not a discretionary preference. Where the testing plan contemplates VASP-regulated activity, the selection of a BSP-accredited counterparty is part of how the framework is engineered to protect investors. Companies treating partner selection as a downstream operational question, rather than an upstream regulatory one, risk misreading what StratBox asks of them.
Working with a properly regulated partner that has strong compliance systems and a clear commitment to investor protection is not a discretionary preference — it is a structural feature of how the StratBox Framework is designed to operate. The selection of a BSP-accredited VASP reflects the careful regulatory sequencing that StratBox demands, and the close coordination between the SEC and the BSP is precisely the kind of inter-agency posture that will support investor protection as the Philippine virtual asset framework continues to develop.

Looking Ahead
The BlockShoals engagement is the first live StratBox test for a CAI entity, but it will not be the last. As more applicants come forward, the choices made at this stage — from testing plan design to VASP selection to inter-agency engagement — will shape the operating assumptions of every applicant that follows. Arden Consult expects the next 12 to 18 months to bring further interpretive clarity from both the SEC and the BSP on how their respective perimeters interact in practice, and on the parameters of acceptable testing activity under StratBox.
